Attorney General's Office,
Hongkong.
7th December, 1907.
REPORT on Ordinance No. 16 of 1907.
29
I have examined the accompanying Ordinance, entitled "An Ordinance to authorise Companies registered under the Companies Ordinance, 1866, to keep local registers of their members outside the Colony," and I am of opinion that the Ordinance is one which is not contrary to the Governor's Instructions.
The object of this Ordinance is set forth in the preamble.
The Ordinance follows generally the lines of the Companies (Colonial Registers) Act 1883 but somewhat extends the scope of its provisions.
The Governor-in-Council is empowered to relieve a company from the necessity of keeping its register at the registered Office in Hongkong. In such cases the register kept at the head Office of the Company is to be deemed the register kept under Ordinance 1 of 1865. Power is given to the Registrar of Companies, subject to two months' notice, to strike off the register the name of a Company keeping a local register without having a licence under this Ordinance, but the Court is empowered to restore the name on application.
(Signed) REES DAVIES,
Attorney General.
